"without prejudice to any rights attached to any issued shares, any share may be issued with such rights or restrictions as the Company may be special resolution determine." This is a legal phrase that means here that the rights attached to any other shares cannot be undone by the right to issue shares specified in this clause. In other words, this clause cannot be used to nullify another special agreement.
